The Dutch chemicals manufacturer DSM and French ingredients company Firmenich have entered into a business combination agreement (the “BCA”) to create a global leader in beauty, nutrition and well-being called DSM-Firmenich. This merger will bring together Firmenich’s Perfumery and Taste businesses, blending in the former’s state-of-the-art science base along with DSM’s health and nutrition capabilities and scientific expertise. DSM-Firmenich aims to look at the requirements of today’s consumers who look at health, sustainability, and well-being.

The merger brings together the capabilities of both companies, each with a 100 year legacy. The new company valued at USD 43 bn. will have four complementary and high-performing businesses with world-class scientific capabilities and expertise in taste, texture, beauty and nutrition.

It will combine DSM’s Food & Beverage and Firmenich’s Taste & Beyond businesses. Firmenich’s Perfumery and Ingredients business will be further expanded into Personal Care & Aroma business. These businesses will be joined by two more businesses Animal Nutrition & Health and Health, Nutrition & Care.
